Tranquil Watch Rental  – Terms Of Use

These Terms & Conditions (“Rental Terms”) govern your participation in the Tranquil Watch Rental Program (“Program”), offered by Tech Silver, Inc. d/b/a Tranquil (“Tranquil,” “we,” “our,” “us”). By enrolling in the Program, you agree to these Rental Terms, which are a binding agreement between you and Tranquil.

The Tranquil Watch (“Device”) is designed to assist individuals with dementia and their caregivers. The Device is not a medical device and should not be relied upon as the sole method of monitoring or ensuring safety.

These Rental Terms are subject to and incorporated into Tranquil’s Terms of Use. By signing or accepting these Rental Terms, you agree to both these Rental Terms and Tranquil’s Terms of Use.

2. Start of Term

The subscription term begins when your Tranquil Watch is delivered to you (the “Delivery Date”). Billing also commences on the Delivery Date. Delivery is considered complete when the shipping carrier confirms delivery to your provided address.

3. Commitment and Cancellation

The Program is a rental subscription with no minimum term. You may request cancellation at any time by notifying Tranquil through our official cancellation process.

A subscription is not considered cancelled until the Device and all included accessories are returned to and received by Tranquil in accordance with the Returns section. Until the Device is returned, billing will continue, and you remain responsible for all subscription fees, taxes, and other applicable charges.

4. No Ownership Transfer

This Program is a rental subscription, not a purchase or rent-to-own agreement. Subscription payments do not transfer ownership of the Device to you. Even if you pay an amount equal to or greater than the retail value of the Device through subscription fees, the Device remains the property of Tranquil. At Tranquil’s sole discretion, an option to buy the Device may be offered separately, but unless such an offer is made and accepted in writing, you have no right to purchase or keep the Device.

If a purchase option is offered, the purchase price will be set by Tranquil at the time of the offer and provided to you in writing.

5. Billing and Auto-Renewal

• Billing cycles are monthly or quarterly, as selected during sign-up.
• You will be billed in advance for each cycle.
• Your subscription will automatically renew for the same billing cycle unless you cancel by notifying Tranquil through our official cancellation process before your current cycle ends.
• If you return the Device or terminate your subscription before the end of your current billing cycle, you remain responsible for payment of the full subscription amount for that entire cycle. No refunds or proration will be provided for unused portions of the cycle, except as required by law.
• Subscription fees are non-refundable except as required by law.
• You authorize Tranquil to charge your chosen payment method for all applicable subscription fees, taxes, and other charges under these Rental Terms, including but not limited to charges for repairs, replacement costs for lost or stolen Devices, fees for unreturned accessories, and any other amounts owed in connection with your participation in the Program. By enrolling in the Program, you agree that Tranquil may process such charges automatically without additional notice, using the payment method on file.

5A. Payment Schedule

• First Payment: Your first subscription payment is due and payable on the date you enroll in the Program (“Subscription Date”) and prior to shipment of the Device.
• Subsequent Payments: Your subsequent subscription payments will be automatically charged to your payment method on file in advance of each billing period, according to the plan you select:
  • Monthly Plan: The next payment will be due one (1) month from the Subscription Date and on that same calendar day each month thereafter, unless adjusted for months with fewer days.
  • Quarterly Plan: The next payment will be due three (3) months from the Subscription Date and on that same calendar day every three months thereafter.
• Minimum Term Charges: If you cancel before the end of your current billing cycle, you remain responsible for the full amount of that cycle’s subscription fee; no refunds or prorated credits will be issued, except as required by law.
• Auto-Renewal: Unless you cancel in accordance with these Rental Terms, your subscription will automatically renew at the end of each billing cycle for the same duration and at the then-current subscription fee.

5B. Minimum Term Cost and Ongoing Payment Schedule

The table below shows the minimum lease cost for each billing plan based on the required three (3) month minimum term and your ongoing periodic payment amounts thereafter. All amounts are shown in U.S. dollars. (Scroll if on mobile)

6. Taxes and Fees

Subscription fees are exclusive of taxes, duties, and government charges. Any required taxes (e.g., sales tax) will be added to your billing amount. You are responsible for paying all applicable taxes and fees related to your subscription.

No security deposit is required for participation in this Program.

7. Warranty and Replacements

While your subscription is active, Tranquil warrants the Device against defects in materials and workmanship under normal use.

• Covered: Defects in materials or manufacturing during active subscription.
• Not Covered: Accidental damage, misuse, neglect, unauthorized repairs or modifications, or damage beyond normal wear and tear.
• Replacements: Replacement Devices may be new or refurbished in good working order and may have minor cosmetic wear.

8. Care, Loss, and Damage

You agree to handle the Device with reasonable care. Minor cosmetic wear is acceptable.

• Normal Wear and Tear: Normal wear and tear means minor cosmetic marks or superficial scratches from ordinary use that do not affect the Device’s operation or safety.
  
  Any damage affecting performance, functionality, or structural integrity — including but not limited to cracks, deep scratching, broken parts, water damage, corrosion, or missing/removal of components — is not considered normal wear and tear and may result in repair or replacement charges.
• Chargeable Damage: Examples of chargeable damage include (but are not limited to) cracked or shattered watch faces, missing bezel/HR monitor, broken casing, water damage, missing charging docks, cables, beacons, or straps, or installation of non-original parts or unauthorized modifications.
• Loss or Theft: If the Device is lost or stolen, you must notify Tranquil within 48 hours. You may be charged up to the full replacement value of the Device and any unreturned accessories.
• Return Condition: The Device must be returned clean, in good working order, and with all original accessories. Missing accessories will be charged at the replacement rates specified in the Rental Terms or provided to you in writing.
• Modification Restrictions: You must not modify, repair, or disassemble the Device itself (the timepiece). You may change the strap; however, all original straps provided by Tranquil must be kept and returned with the Device.
• Reporting Requirement: You must report any defects or significant damage to Tranquil before returning the Device. If unreported damage or defects are found upon return, Tranquil may charge repair or replacement fees.
• Authorization of Charges: By enrolling in the Program, you authorize Tranquil to charge your payment method on file for any applicable repair, replacement, or accessory fees described in this section.

8A List of Possible Charges

9. Included Items

All items provided with the Device — including straps, chargers, beacons, cables, plugs, and documentation — must be returned at the end of your subscription. Missing items may result in additional charges equal to their replacement cost.

10. Returns

When you wish to cancel your subscription, you are required to return the Tranquil Watch and all accessories to Tranquil:

• Cancellation: Your subscription will not be considered cancelled until the Device and all included accessories have been returned to and received by Tranquil. You are responsible for ensuring the items are sent back to Tranquil.
• Termination: If your subscription is terminated by Tranquil (for example, due to non-payment or breach of these Rental Terms), your right to use the Device ends immediately, and you must return the Device and all included accessories within seven (7) days of termination notice.
• Return Packaging: Use the original packaging.
• Non-Return: Failure to return the Device and accessories within the required period may result in charges up to the full replacement value, in addition to any other fees specified in these Rental Terms.

11. Cancellation and Termination

• You may cancel at the end of your current billing cycle by notifying Tranquil through our official cancellation process.
• When you request cancellation, Tranquil will provide you with a prepaid return label for the Device and all included accessories. You are expected to return the watch within seven (7) days of Tranquil providing the return label. If you do not return the device within this time, the subscription will continue until the devices are returned.
• If the Device and all accessories are not returned within this seven (7) day period, your subscription will automatically resume, and you will continue to be billed until the items are received by Tranquil. If another billing cycle begins before the Device is returned, the applicable subscription fee for that cycle will still be processed.
• Tranquil may terminate your subscription at any time for violation of these Rental Terms or applicable law. Upon termination, your rights to use the Device immediately cease, and you must return it in accordance with the Returns section.

11A. Overdue Payments and Non-Return of Device

If your subscription payment becomes overdue and is not resolved within six (6) days of notice from Tranquil, your subscription will be suspended and you will remain responsible for all outstanding subscription fees, taxes, and any other applicable charges under these Rental Terms.

During suspension, Tranquil may remotely disable certain Device functions, including but not limited to location tracking and caregiver alert services.

Your obligation to pay does not end if the Device is returned. Any unpaid amounts will continue to be owed until your account is brought current.

11B. Right to Reinstate

If your subscription payment is overdue, your subscription does not automatically cancel. Instead, Tranquil will provide notice of the overdue payment and allow you a period of time to bring your account current. If you pay the overdue amount within the notice period, your subscription will be reinstated and continue without interruption. If the overdue payment is not resolved, Tranquil may disable non-emergency functions of the Device and require the Device to be returned in accordance with these Rental Terms.

11C. Collections and Recovery Costs

If you fail to pay any amounts owed under these Rental Terms and do not return the Device and accessories as required, Tranquil may refer your account to a collections agency. You agree that you will remain liable for all outstanding amounts, including subscription fees, non-return fees, damage or replacement charges, and any applicable taxes. You further agree to be responsible for any reasonable costs of collection incurred by Tranquil, including but not limited to agency fees, court costs, and attorneys’ fees, to the maximum extent permitted by law.

12. Use Limitations

The Device must be used in accordance with Tranquil’s instructions and only within the United States. It may not be used for any unlawful, harmful, or fraudulent purposes.

13A. Location and Personal Data Consent
The Device collects location information and certain personal data in order to provide its tracking and monitoring features. By enrolling in the Program, you expressly consent to Tranquil collecting, storing, processing, and transmitting such location and personal data as necessary to provide the services associated with the Device, in accordance with Tranquil’s Privacy Policy and Terms Of Use. You acknowledge that the Device’s functionality, including its safety and location tracking features, depends on your subscription remaining active and in good standing.

If subscription payments are not made on time, Tranquil reserves the right to suspend or terminate the Device’s location tracking service until all outstanding amounts are paid in full. Such suspension does not relieve you of your obligation to pay the subscription fee and any other amounts due under these Rental Terms.

13. Limitation of Liability

To the maximum extent permitted by law:

• Tranquil will not be liable for indirect, incidental, special, consequential, or punitive damages.
• Total liability for all claims will not exceed the greater of USD $100 or the total subscription fees you have paid for the Device.

14. Dispute Resolution

Any disputes arising under these Rental Terms will be handled through binding arbitration in accordance with the same dispute resolution procedures outlined in Tranquil’s standard Terms of Use.

15. State-Specific Rights

In addition to the rights described in this Agreement, residents of certain states may have additional rights under applicable state laws. These rights may include specific cancellation periods, disclosure requirements, and restrictions on automatic renewal.

• California: If you are a California resident, you may request to cancel your subscription at any time by emailing hello@feeltranquil.com or by calling +1 (800)-467-1494. Your subscription will be cancelled, and you will not be charged for any renewal period that begins after the Device and all accessories have been returned to and received by Tranquil.
• New York: If you are a New York resident, you may cancel your subscription at any time by emailing hello@feeltranquil.com or by calling +1 (800)-467-1494. Your subscription will be cancelled, and you will not be charged for any renewal period that begins after the Device and all accessories have been returned to and received by Tranquil.
• Texas: If you are a Texas resident, you acknowledge and agree that this Device contains geolocation tracking functionality and that you have consented to such tracking under Section 13A of this Agreement.

If you are a resident of Texas, Maryland, or California, the following applies in addition to the terms in Section 13A:

You expressly consent to Tranquil remotely disabling certain non-emergency functions of the Device, including location tracking and caregiver alert services, if your account becomes past due and remains unpaid. Tranquil will not disable SOS emergency calling or other core safety features while the Device remains in your possession.

Before any such remote disablement occurs, Tranquil will:

1. Provide you with written notice of the payment issue via email.
2. Attempt to contact you using the most recent contact details you have provided to us.
3. Allow you a notice period of 6 (six) days to bring your account current or contact us to make alternative arrangements.

If we do not hear from you or receive payment by the end of the notice period, we may proceed to remotely disable the functions of the Device until your account is brought current. Service will be restored promptly once all outstanding amounts are paid.

This section is intended to supplement, not replace, the rights and obligations set forth in this Agreement and any applicable law.

16. Governing Law & Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, USA, without regard to its conflict of laws principles. Unless otherwise required by applicable law, any legal action or proceeding arising under or relating to this Agreement that is not subject to arbitration shall be brought exclusively in the state or federal courts located in Denver County, Colorado, and you hereby consent to the personal jurisdiction of such courts.

17. Modifications to These Terms

Tranquil may update these Rental Terms at any time. Updates will be communicated in writing or posted on our website, and your continued participation in the Program after such updates constitutes your acceptance
